Terms of Service

Please read these Terms of Service carefully before utilizing SocialDispatch. These terms govern your access to our social media publishing engine, content composer, and integrations with Meta Facebook Pages, Instagram, and X.

1. Acceptance of Terms

By creating an account, accessing the application, or utilizing any of the SocialDispatch services (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you possess the authority to bind such entity.

2. Description of Service

SocialDispatch provides a centralized software application for managing social media campaigns, creating multi-network post drafts, scheduling publishing slots via recurring time buckets, and automatically transmitting posts to authorized social media channels via their public API endpoints.

3. Accounts, Security & Authorization

You are responsible for safeguarding your login credentials and ensuring the confidentiality of your account. You agree to notify SocialDispatch immediately of any unauthorized access to your account or any other breach of security.

When connecting a third-party social media profile (such as a Facebook Page or Instagram Business Account), you warrant that you are the legitimate owner or an authorized administrator of that account and possess the legal right to publish content through our platform.

4. Compliance with Third-Party Platform Rules

Mandatory adherence to Meta and X developer requirements and community standards.

Your use of SocialDispatch to publish to third-party social media platforms is explicitly subject to your adherence to the policies and terms of those platforms:

Any violation of third-party platform terms that triggers abuse or spam flags may result in immediate suspension of your SocialDispatch access without prior notice.

5. Acceptable Use & Prohibited Conduct

You agree NOT to use SocialDispatch to:

  • Transmit, dispatch, or schedule unsolicited bulk content, automated spam, or deceptive advertising.
  • Upload or publish hate speech, harassment, defamatory statements, or content promoting violence or unlawful activities.
  • Infringe upon any third party's copyright, trademark, patent, or proprietary rights.
  • Attempt to circumvent API rate limits, compromise security, or reverse engineer any portion of the SocialDispatch engine.
  • Interfere with or disrupt backend Redis BullMQ queues, worker threads, or database integrity.

6. Content Ownership & License

You retain 100% ownership of all content, copy, text, images, and videos uploaded or scheduled through SocialDispatch. SocialDispatch claims no intellectual property rights over your creative assets.

By scheduling posts through the Service, you grant SocialDispatch a limited, non-exclusive, royalty-free, worldwide license solely to store, format, adapt, and transmit that content to your authorized social media channels on your behalf.

7. API Rate Limits & Third-Party Availability

SocialDispatch interacts with external social networks via their public APIs. We cannot guarantee uninterrupted access to third-party APIs. You acknowledge that:

  • Third-party networks may throttle, rate-limit, or temporarily suspend API endpoints.
  • Third-party networks may modify their API specifications or permissions at any time.
  • SocialDispatch includes automatic exponential backoff retry algorithms to mitigate transient failures, but cannot be held liable for delayed or dropped posts resulting from external platform outages.

8. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIALDISPATCH DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

IN NO EVENT SHALL SOCIALDISPATCH, ITS OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS REPUTATION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

9. Suspension & Termination

You may terminate your account at any time by disconnecting your channels and requesting account closure. SocialDispatch reserves the right to suspend or terminate accounts that breach these Terms, violate third-party social media developer policies, or engage in abusive posting activities.
